Emily T. Strack, shareholder in the Memphis office of Baker Donelson and vice chair of the Firm's Emerging Companies Team, concentrates her practice in the areas of corporate law, mergers and acquisitions, and venture capital fundraising and fund formation, with a particular focus on clients in the health care and life science industries.

Lead transaction counsel to a large, privately held hardware distributor in the acquisition of a division of a large, publicly traded Canadian company, with a purchase price of approximately $70 million.

Lead transaction counsel to a private equity fund in the simultaneous acquisition of two specialty pharmacies with an aggregate transaction value of approximately $45 million, plus earnouts.

Professional Biography


Ms. Strack regularly represents clients in merger and acquisition transactions on both the buy-side and the sell-side. In addition, she has an active practice serving as corporate counsel to emerging companies and more established businesses, advising on various issues related to entity formation, corporate governance, general business contracts, and equity fundraising. Ms. Strack also regularly assists venture capital and angel funds, including Rural Business Investment Companies (RBIC Funds) and State Small Business Credit Initiative Funds (SSBCI Funds), with their fund formation and investment needs. She prides herself on providing practical advice and offering a solutions-oriented approach to clients.

Ms. Strack represents numerous clients in the technology, life science, and health care industries, including medical device companies, long-term care and seniors housing providers, retail and specialty pharmacies, physician practices, and hospitals.

She is a Memphis native and enjoys being actively involved in her community. Ms. Strack is particularly passionate about the arts, and serves as vice chair of the Board of Trustees of Opera Memphis and formerly chaired the Dixon Gallery & Gardens Young at Art program. She also serves as chair of the Board of Directors of Innovate Memphis and as a board observer of Start Co.

  • Lead transaction counsel to a large, public, NASDAQ-listed retail company, in the acquisition of a large, privately-held specialty pharmacy, with a purchase price of approximately $70 million.

  • Lead transaction counsel to a private equity fund in the simultaneous acquisition of two specialty pharmacies with an aggregate transaction value of approximately $45 million, plus earnouts.

  • Lead transaction counsel to a large, privately-held agricultural chemical company in more than ten strategic acquisitions throughout the country.

  • Represented a venture capital fund in the $3.4 million Series A financing of a medical device manufacturer.

  • Represented a large owner and operator of retirement communities in a complex $128.5 million sale-manageback transaction involving five assisted living communities in multiple states.

  • Advised a venture capital fund in the sale of limited partnership interests in its agricultural technology fund, which was certified as a Rural Business Investment Company (RBIC).  

  • Represented a private equity real estate investment firm in its $8.6 million acquisition of a Tennessee nursing home facility.
