Professional Biography


Mr. Sofferman represents clients in business transactions, including corporate structuring, reorganizations, mergers and acquisitions, shareholder and member disputes, trademark, copyright, licensing, software, technology, Internet, publishing, privacy, and export compliance. He prepares and negotiates complex partnership and limited partnership agreements, as well as prepares and negotiates, and advises clients on, complex commercial transactions. He also advises on advertising, First Amendment, and right of publicity issues. Mr. Sofferman advises corporate boards, both for-profit and not-for-profit, on corporate governance matters.

International companies turn to Mr. Sofferman for legal representation regarding corporate issues associated with entering the U.S. market. He frequently prepares and negotiates international distribution and licensing agreements.

In addition to handling complex corporate and commercial transactions, Mr. Sofferman advises on litigation matters involving corporate and commercial issues, as well as complex intellectual property issues in the areas of copyright and trademark law.

He previously served as general counsel for a technology manufacturer and as legal counsel for Scholastic, Inc., the Fortune 500 global media and publishing company. Mr. Sofferman has prepared and/or negotiated some of the most successful works in publishing history. He is the author of the Limited Liability Company Forms and Practice Manual, published by Data Trace Publishing, which is the authoritative work on Florida LLCs.

  • Represented a growth-stage beverage company in corporate conversion in preparation for a capital raise.

  • Represented a major regional airline in successfully enforcing its intellectual property rights.
  • Represented major publishing companies in negotiating numerous agreements for high-profile New York Times Bestsellers.

  • Represented a large not-for-profit in addressing corporate governance matters.

  • Represented an aviation company in restructuring of a financing agreement.

  • Represented numerous companies as outside general counsel, providing ongoing, daily business support, including the development of internal policies, advertising reviews, contests and sweepstakes, joint ventures, regulatory compliance, and agreements with governmental agencies.

  • Represented numerous franchisees in acquisition of additional locations in connection with expansion initiatives.

  • Represented numerous tech start-ups in the preparation and negotiation of complex shareholder and operating agreements.

  • Represented media companies in the preparation of licensing and distribution agreements with some of the world's top content providers, including film studios, publishers, production companies, television networks, newspapers, and satellite providers.

  • Represented NFL players in establishing intellectual property rights associated with merchandising projects.

  • Represented automobile dealer in successful petition submitted to U.S. Copyright Office to reconsider and accept registration of artwork.

  • Represented CEOs and other high-level executives in employment agreements and equity participation arrangements within various organizational frameworks, including limited partnerships and limited liability limited partnerships.

  • Represented technology manufacturers and contractors on agreements and voluntary disclosures with the U.S. Department of State, U.S. Department of Defense, U.S. Department of Treasury, and U.S. Department of Commerce.

  • Represented numerous clients in filings, office actions, and petitions for reconsideration with the United States Patent and Trademark Office and United States Copyright Office.
