Sheila Woolson focuses her practice on complex litigation matters across a wide array of commercial and employment disputes.

Professional Biography


Sheila leverages her chemistry training and pharmaceutical industry experience to represent clients in a variety of complex commercial litigation matters, including contractual disputes over provider contracts, indemnification provisions, lease terms, restrictive covenants, shareholder disputes and trade secret misappropriation. She litigates state and federal environmental disputes, products liability claims, including opioid matters, and toxic torts, all matters in which her scientific background is invaluable. Sheila also uses her experience to counsel clients conducting environmental due diligence and products liability risk assessments related to transactions and regulatory requirements. She provides general counsel advice to a large New Jersey non-profit organization.

Sheila has advised employers on more than 200 AAA arbitrations involving employment claims, ERISA, and severance issues.

Sheila is a member of the International Association of Defense Counsel (IADC), which is considered the preeminent organization of lawyers who provide litigation services and counsel to corporations and insurers throughout the world.

  • Negotiated a resolution to a contentious termination of a hospital radiology services agreement for a health care facility and teaching institution. The agreement included an adequate transition period that would have left the hospital without essential radiology interpretation services.

  • Defended a health system in a breach of contract action following the termination of its contract with a physician group providing a specialty service line. Force majeure based upon the onset of the COVID-19 pandemic was raised as a defense. The litigation was settled during mediation, just prior to trial, on terms favorable to our client, with the amount paid representing a substantial reduction in the recovery amount sought.

  • Represented a health system in the termination of a space license agreement of an on-site café and gift shop. The parties settled the litigation after a decision on a preliminary injunction motion on terms favorable to our client, with the amount paid representing a substantial reduction in the recovery amount sought.

  • Performed regulatory due diligence for a private equity firm and its portfolio company in the acquisition of a large-contract non-prescription drug and personal care manufacturer with operations in the United States and Canada. Assessed the target company's compliance with FDA and other international consumer and health care product regulations and provided strategies to mitigate future regulatory enforcement risk.

  • Advised an integrated health care delivery system serving the residents of southern New Jersey in connection with an affiliation transaction with a regional health system.

  • Defended companies against opioid claims.

  • Litigated shareholder and employment disputes, including enforcement of restrictive covenants.
