Mr. Penny concentrates his practice in the area of seniors housing and care, including finance, acquisitions, dispositions, development, construction, and operations. He also routinely represents lenders and investors on general commercial and project-based financing matters.
Mr. Penny advises investors and lenders on a range of real estate matters, including organizational structure; strategic planning; comprehensive due diligence, including property condition assessments, title, survey, environmental, land use, and health care issues; purchase and sale agreements; construction contracts; operations transfer agreements; and commercial leasing transactions.
Prior to joining Baker Donelson, Mr. Penny served as general counsel for Smith/Packett Med-Com, a national developer of senior living and long term care facilities. He led in-house and outside counsel on more than $200 million annually in new facility construction transactions and provided business and legal advice regarding debt and equity markets, finance, construction, and corporate structure and governance. Mr. Penny also served as general counsel for two affiliates: a senior living management company with more than 40 locations and more than 3,000 residents, and a private equity firm managing more than $1 billion in assets. In this role, he handled a wide range of employment, licensure, care, insurance, and other related matters.
During law school, Mr. Penny served as a judicial intern for the Honorable William H. Lamb of the Supreme Court of Pennsylvania; the Honorable Arnold New of the Court of Common Pleas of Philadelphia; and the Honorable John T.J. Kelly, Jr. of the Superior Court of Pennsylvania.
