Noah maintains a mixed transactional and regulatory practice, supporting hospitals, physician groups, ambulatory surgery centers, and other health care entities on mergers, acquisitions, joint ventures, affiliations, and related business transactions. His transactional work includes assisting with the structuring of asset and equity purchases, preparing and reviewing management and professional services agreements, and supporting the regulatory diligence that accompanies health care transactions.
On the regulatory side, Noah counsels clients on fraud and abuse laws, including the Anti-Kickback Statute and the Stark Law; corporate practice of medicine restrictions; HIPAA privacy and security compliance; and Medicare and Medicaid requirements that shape health care delivery. He also advises on emerging regulatory issues, including telehealth, digital accessibility, and state health care transaction notice and certificate-of-need laws. Noah leverages his interdisciplinary background to help clients understand how these requirements apply to their operations and develop practical, reliable guidance.
