The deep roots of Baker Donelson's Nashville history can be traced to Howard H. Baker beating Lewis Donelson to the punch. When the Heiskell Donelson firm started looking to establish a presence in the state capital, the Baker Worthington firm already had strong Middle Tennessee roots. For a time, the two firms coexisted as friendly rivals among Nashville firms, and as the city boomed, the firms grew and they eventually joined forces in 1994. 

Today this office has grown to include nearly 100 lawyers, assisting legal and public policy clients in the booming Nashville economy, across the country and around the world. We are recognized for our work in many legal service areas, with particular strengths in the health care, corporate and securities, litigation, and economic development sectors. We seek to help companies succeed and expand here as we have done, and we are active participants in the vibrant entrepreneurial community, providing a wide range of services to Nashville's emerging companies.

Health Law Associate – Baltimore or Nashville (#784)

The ideal candidate will have at least four to six years of transactional experience advising health care providers. Financial Services Associate – All Offices (Charlotte or Raleigh, NC preferred) (#790)

Baker, Donelson, Bearman, Caldwell & Berkowitz, P.C. seeks a mid-level associate with four or more years of debt finance experience to join its thriving Financial Services Transaction practice. Specific experience representing lenders and borrowers on leveraged finance transactions, including drafting and negotiating credit agreements, intercreditor agreements, security agreements and other primary loan documents, as well as managing transaction closings and supervising junior associates and paralegals is preferred. Experience with mezzanine finance or other private credit funds is a plus. Privacy Counseling Associate – All Offices (Atlanta, Baltimore, Houston, Nashville, New Orleans, Raleigh, Washington, D.C. Preferred) (#791)

Baker, Donelson, Bearman, Caldwell & Berkowitz, P.C. seeks a mid-level associate with four or more years of experience in privacy law to join its thriving Data Protection, Privacy and Cybersecurity Team. The associate will advise clients on emerging privacy considerations and issues, draft policies and data protection addendum, and provide general privacy counseling. Specific experience in one or more of the following areas: consumer privacy; ad tech and related privacy concerns, comprehensive state privacy laws, such as the CCPA; federal privacy laws, such as GLBA, FCRA, COPPA, and the FTC Act; health information privacy (including human subjects research); and state laws (CCPA, CMIA, Washington My Health My Data Act, Nevada SB 370) health care privacy laws; artificial intelligence laws (CO AI Act, EU AI Act); and international data transfer, privacy and localization laws and regimes, such as the EU’s GDPR. Legal Research Analyst - Nashville, Atlanta, Baltimore or Washington, D. C.

Baker, Donelson, Bearman, Caldwell & Berkowitz, PC, an AM Law 200 firm, is actively seeking a Legal Research Analyst. The position will be responsible for providing reference and expert research services firm-wide under general supervision and according to Firm policies and procedures. The Firm office locations of Nashville, Atlanta, Baltimore and Washington, D.C. are preferred; however, additional Firm office locations may be considered.

ESSENTIAL DUTIES AND RESPONSIBILITIES

Essential functions are primarily job duties that incumbents must be able to perform unassisted or with some reasonable accommodation made by the employer.

  • Demonstrates the ability to work efficiently, maintain high productivity, and consistently deliver a reasonable volume of quality work within established deadlines.
  • Provides efficient, cost-effective, reliable expert research and reference support to lawyers, legal assistants and admin departments utilizing the most appropriate online databases and material daily.
  • Instructs patrons in best use of online databases.
  • Performs legal, legislative and company research support proficiently.
  • Participates in pilot programs evaluating new research products and testing applications.
  • Actively engages professional development to maintain expert-level knowledge and stays abreast of changes and enhancements to all firm resources.
  • Builds and produces current awareness newsletters, alerts and tracks as well as monitors legislative issues, as requested.
  • Promptly assigns reference inquiries to self, corresponds with requestor and records details of completed research requests in the firm research que.
  • Assists in creating user reference guides, training development and other initiatives to promote awareness and support end-users.
  • Assists in maintaining up-to-date research resources across practice group sites as changes/additions occur with the various databases.
  • Assists in driving strategy and product development.
  • Produces white papers on industry hot topics to best inform our attorneys and/or clients on an as needed basis.
  • Works with the Director of Knowledge Management and Research, the Client Solutions Group, Business Development and other departments collaboratively on projects and assignments.
  • Other duties as assigned.

KNOWLEDGE, SKILLS, AND ABILITIES REQUIRED

  • High school diploma required. BA, MLS and/or JD desired.
  • 3+ years of legal reference and research experience with deep and broad knowledge of legal materials and databases used to support the firm's vast array of practice areas and jurisdictions.
  • Proficient in legal research databases and software programs to include, but not limited to Westlaw Precision, Lexis+, Wolters Kluwer-VitalLaw, Bloomberg Law, PACER, Courthouse News Service, Checkpoint RIA, HeinOnline, Drafting Assistant, Accurint, Quest and TLO amongst others required.
  • Professional interpersonal skills required in order to communicate and follow instructions effectively and provide information with ordinary courtesy and tact.
  • Customer service focused.
  • Ability to work in a fast-paced environment with demonstrated ability to prioritize multiple competing requests and demands, providing high level of customer service and maintaining a professional demeanor at all times.
  • Self-motivated, detail oriented and well organized to work independently or collaboratively against tight deadlines.
  • Work occasionally may require after hours and weekend coverage to perform the essential duties of the position.

Patent Associate – Nashville (#795)

The Nashville office of Baker, Donelson, Bearman, Caldwell & Berkowitz, P.C. seeks a Patent Associate with experience in electrical engineering or computer science, to join its Intellectual Property practice group. Ideal candidates will have up to four years' experience. Being a registered patent attorney with the USPTO is a plus. This position will work with the patent prosecution team and the job responsibilities will involve U.S. and foreign patent prosecution practice, including preparation of patent applications, office action responses, and patentability search reports. Other responsibilities include reviewing invention disclosures and participating in discussions with inventors to understand their new inventions; working with third-party drafters to prepare formal figures for a patent application; searching literature and patent databases to determine the patentability of inventions; drafting written assessments of the prospects of obtaining patent protection; writing patent applications; preparing responses to communications from the USPTO; managing dockets for patent-application matters, including information disclosure statements, assignments, inventor oath/declarations, application data sheets, and other matters; developing arguments for patentability to Patent Office Examiners, including office-action responses and appellate briefs; and reviewing patents as part of the IP due diligence for a potential acquisition or merger. Ideal candidates will have superior academic credentials and very strong writing skills and oral communication skills. We are especially looking for candidates who are creative, mature, detail-oriented, collaborative, and inquisitive, and who will thrive on the excitement of joining a growing IP practice and working with a group who is passionate about furthering the success of our clients and the Firm.
