With deep experience across the full spectrum of commercial real estate transactions, Zlata counsels clients on acquisitions and dispositions, complex financings, commercial leasing, and property development. She represents a diverse client base – including ambulatory surgery centers, medical office building owners, real estate investment trusts (REITs), private equity investors, and entrepreneurial developers – in transactions ranging from single-asset purchases to multimillion-dollar portfolio deals. Zlata drafts and negotiates purchase and sale agreements, loan documents, leases, and amendments for warehouse, office, retail, and medical facilities. She also structures joint venture arrangements, including partnership agreements, limited liability company operating agreements, and cost-sharing agreements for the acquisition and development of real property.

Zlata brings substantial financing experience to every transaction. She represents individual and corporate borrowers in complex credit facilities – including senior and mezzanine debt, secured and unsecured loans, factoring arrangements, and mortgage financing – as well as workouts and debt restructurings. Clients value her ability to leverage this financing experience to structure tailored solutions that align with their business objectives and navigate challenging capital markets.

  • Represented a realty company in its $1.9 million acquisition of three commercial condominium units in a mixed-use development in New Jersey. Coordinated due diligence, negotiated the purchase agreement, and reviewed acquisition financing documents, including resolving title and condominium association matters.

  • Represented two real estate investment companies in their $9.8 million acquisition of a multifamily apartment complex in Florida. Structured the joint venture arrangement between the investors, negotiated the purchase and sale agreement, and closed the mortgage loan financing on behalf of the acquiring entities.

  • Assisted an entrepreneur in launching a new hospitality and events business showcasing a private antique car collection. Formed the business entity, negotiated a long-term commercial lease for a large event space, and advised on operational and licensing considerations.

  • Represented a national ambulatory surgery center organization in a $25 million refinancing with a private credit lender. Negotiated loan documents and revised corporate governance documents on behalf of ten affiliated borrower entities across New York and New Jersey.

  • Assisted with a $100 million credit facility involving residential mortgage loans on behalf of a national homebuilder affiliate, including preparation of legal opinions addressing corporate, securities, Uniform Commercial Code (UCC), and bankruptcy law matters across multiple jurisdictions.

  • Represented a client in the acquisition of a commercial real estate property on Long Beach Island, New Jersey, for the development of a new restaurant. Advised on the real estate purchase transaction and assisted the client in structuring and negotiating a franchise agreement to launch the restaurant concept.

  • Advised a health care organization in connection with an $11.5 million multifacility financing package from a regional bank, including review and negotiation of the commitment letter covering a capital expenditure line of credit, term loan, and revolving line of credit to support strategic expansion, acquisitions, and refinancing of existing debt.
