Claire Cowart Haltom advises health care organizations on major transactions and strategic initiatives at the intersection of legal strategy, regulatory approval, public policy, and institutional priorities. Health systems, academic medical centers, medical schools, and other providers rely on Claire for guidance on complex combinations, affiliations, governance matters, regulatory issues, and organizational change – especially when a transaction is highly scrutinized, strategically important, or likely to reshape a market, institution, or delivery system.

Claire has advised on health care transactions totaling billions of dollars, including mergers and acquisitions, strategic partnerships, system restructurings, and innovative affiliation models. Her experience includes several once-in-a-generation transactions requiring state or federal review and approval, including matters involving antitrust oversight, public policy considerations, and highly regulated provider operations. Clients rely on Claire to manage complicated approval pathways, align multiple stakeholders, anticipate risk, and develop solutions that are strategically sound, regulatorily durable, and operationally achievable.

A nationally recognized authority on Certificate of Public Advantage (COPA) transactions, Claire has helped clients secure precedent-setting approvals in multiple states and navigate issues involving state policy, federal antitrust law, regulatory oversight, public accountability, and health care operations. Her COPA work reflects deep experience guiding extraordinary transactions from concept through approval and implementation, where legal judgment, policy fluency, stakeholder engagement, and operational execution must all align.

Her practice also includes significant academic medicine. She advises leading academic medical centers, teaching hospitals, and colleges of medicine on affiliation structures, faculty practice arrangements, governance, clinical expansion strategies, and the operational realities that come with complex academic health care relationships. She is a past chair of the American Health Law Association's Academic Medical Centers & Teaching Hospitals Practice Group and has served as trusted counsel to several premier academic health care institutions.

Beyond her legal experience, Claire is a recognized health care industry leader. She is the past chair of Leadership Health Care and has served on the board of directors of the Nashville Health Care Council. Before law school, she worked in Washington, D.C., as communications director for a United States congressional committee. That policy background continues to inform her work at the intersection of government, regulation, and business strategy. Claire has drafted health care legislation and advised on legislation that has been adopted by numerous state legislatures.

Drawing on this breadth of experience, she brings clients a distinctive combination of transactional judgment, regulatory sophistication, policy fluency, and practical execution in high-stakes health care matters where success depends on clarity, precision, and the ability to navigate uncertainty.

  • Represented a billion-dollar non-profit health system in securing the first Certificate of Public Advantage (COPA) ever issued in the state of Tennessee and the first Cooperative Agreement ever issued in the commonwealth of Virginia.

  • Represented a two-billion dollar health system in various regulatory matters before the Department of Health and the Attorney General's Office.

  • Represented a ten-billion-dollar health system in restructuring physician contracting arrangements.

  • Represented a $2 billion non-profit health system in the buy-out of a 50-year hospital lease, the purchase of real estate, and a commitment to build a new $250 million hospital campus.

  • Represented a $2 billion health system in its acquisition of more than 500 physicians.

  • Represented a billion-dollar health system in a successful "merger of equals."

  • Represented a for-profit hospital company in the sale of a 325-bed acute care hospital to a non-profit health system.

  • Represented a regional non-profit health system in the sale of a 500-bed acute care hospital to a for-profit hospital company.

  • Represented a large non-profit health system through a strategic options process and selection of a strategic partner.

  • Represented one of the largest health insurers in the nation in its expansion of services in multiple states.
  • Represented a large teaching hospital in its negotiations with a university to form a new faculty practice plan.

  • Represented an independent community hospital in negotiating a strategic affiliation agreement to join a clinically integrated network.

  • Represented a group of charitable clinics in the successful passage of state legislation to address corporate practice of medicine issues.

  • Represented a for-profit health care company in a corporate restructuring to address health care regulatory and corporate practice of medicine issues.

  • Represented a for-profit health care company in a corporate restructuring and roll-up of 30 joint ventures into a Series LLC to address health care regulatory and franchising issues.

  • Represented a group of health systems exploring a regional affiliated network through clinical integration.
  • Represented a regional non-profit health system in the purchase of three medical oncology physician practices.

  • Represented a regional non-profit health system in the purchase of a 17-physician cardiovascular group.

  • Represented the purchaser of a 140-bed acute care hospital from a for-profit hospital company.
  • Represented a regional non-profit health system in the purchase of the largest physician-owned medical group in the state of Arkansas.

  • Represented a for-profit behavioral health company in the sale of a private inpatient acute behavioral facility dedicated to the treatment of behavioral and chemical dependency issues.

  • Assisted national health system in the development and implementation of a telepsych network for facilities in numerous states. Also addressed physician state licensing issues, reimbursement issues, and regulatory compliance issues.

  • Assisted AN academic medical center in evaluating state regulatory requirements for expansion of telemedicine services outside of its traditional geographic service area. Also filed necessary waivers/variances with state administrative boards to facilitate the expansion.

  • Assisted an operator of urgent care centers in establishing a joint venture partnership with a regional health system to create a network of walk-in care centers.

  • Negotiated amended terms of certification on behalf of a major health system for a unique multistate Certificate of Public Advantage.
